1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer”, “you”, or “your”) and TreeNote (“TreeNote”, “we”, “us”, or “our”) concerning your access to and use of our application, website (treenote.in), and related cloud sync infrastructure.

By creating an account, initiating a subscription trial, or using TreeNote, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.

2. 100% Customer Output & Content Ownership

We uphold an absolute standard of customer ownership:

Exclusive Intellectual Property Rights: You retain sole and exclusive ownership of all title, copyright, intellectual property, and proprietary rights in and to all notes, documents, outlines, audio, code, and text created or imported into TreeNote.
AI-Generated Deliverables: All outputs, completions, summaries, and transformations generated through AI features belong 100% to you. TreeNote claims zero rights or ownership interest in any AI-assisted work.
No Commercial Exploitation: TreeNote will never publish, license, monetize, share, or claim royalties on any content produced by you or your team.
Export Right: You maintain the unrestricted right to export your data in open format (OPML/JSON/Markdown) at any time, even after plan cancellation.

3. Subscription Plans, Billing & Usage Terms

TreeNote offers transparent subscription tiers designed for personal and enterprise productivity:

Starter Tier₹499 / mo

Includes full keyboard outliner, unlimited nodes, local IndexedDB storage, and Google Drive/Dropbox CRDT peer sync. 14-day free trial included.

Pro Tier₹999 / mo

Unlocks Board (Kanban), Table with custom fields, Mind Map visualizer, Saved Searches, Hardware Passkeys encryption, Version History, and BYOK AI.

14-Day Free Trial: All paid tiers include an unrestricted 14-day free trial. No credit card is required to start your trial.
Billing Cycle & Auto-Renewal: Subscriptions are billed in advance on a monthly or annual basis (save 20% on annual commitments). Subscriptions automatically renew unless canceled before the next billing cycle.
Cancellation & Refunds: You can cancel your subscription at any time from your account settings. For billing disputes or refund requests within 7 days of purchase, review our Refund Policy or email support@treenote.in.

4. Enterprise Service Level Agreement (SLA)

TreeNote commits to providing enterprise-grade availability and customer support:

99.9% Monthly Uptime Guarantee

We guarantee a Monthly Uptime Percentage of at least 99.9% for all enterprise cloud sync infrastructure, excluding scheduled maintenance windows notified at least 48 hours in advance.

Service Credits: If monthly uptime falls below 99.9%, enterprise customers are entitled to receive a pro-rata credit of 10% of their monthly subscription fee for every 1% of downtime, up to a maximum of 50% of monthly fees.

5. Acceptable Use & Prohibited Conduct

You agree not to misuse TreeNote services. Specifically, you may not:

Reverse engineer, decompile, or disassemble any proprietary protocol of TreeNote sync services.
Use TreeNote infrastructure to distribute malware, automated scraping agents, or harmful payloads.
Attempt to circumvent client passkey encryption, tenant isolation boundaries, or API rate limits.
Use the service in violation of international export laws, GDPR regulations, or intellectual property rights.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall TreeNote, its founders, officers, or partners be liable for indirect, incidental, special, consequential, or punitive damages. Our aggregate liability arising out of or relating to the service shall not exceed the total amounts paid by you to TreeNote during the six (6) months immediately preceding the event giving rise to liability.
